This Franchise Disclosure is provided by BayadBox (AIO Tech Lab) to all prospective franchisees in the interest of transparency and informed decision-making. Before entering into any franchise agreement with BayadBox, you are strongly advised to read this disclosure in full, seek independent legal and financial advice, and satisfy yourself that this investment is appropriate for your personal and financial circumstances.
1. The Franchisor

2. The Franchise Concept
BayadBox franchises are licensed Neighborhood Hub stores offering six (6) primary revenue streams: bills payment and remittance, e-load and e-wallet services, document printing and government document assistance, logistics drop-off and pick-up, BayadCard prepaid Visa services, and curated retail. Each franchise holds exclusive rights to one (1) barangay territory.

Note: The above figures do not include store rent, operating costs after opening, or additional working capital you may require depending on your store’s transaction volume. Franchisees are responsible for their own rental agreements and operating expenses.
4. Projected Income — Important Disclaimers
BayadBox projects an estimated monthly net income of PHP 50,000 or more for a fully operational Neighborhood Hub store with adequate foot traffic and proper management of all six revenue streams. This projection is based on the following assumptions:
- Store location with a minimum daily foot traffic of 80–100 potential customers
- Active operation of all six Hub revenue streams from opening
- Monthly overhead of approximately PHP 35,000–42,000 (rent, one staff salary, utilities, platform fees)
- Daily gross profit of approximately PHP 3,000–3,200
- A store in a neighborhood or barangay-level location, not a prime commercial address
These are projections, not guarantees. A new store may take three (3) to six (6) months to reach projected income levels as it builds a regular customer base. Stores in low-traffic or poorly located areas may earn significantly less. BayadBox makes no representation or warranty that any franchisee will achieve the projected income.
The projected return on investment of approximately seven (7) months is calculated as total investment (₱350,000) divided by projected monthly net income (₱50,000), and assumes the store achieves projected income from its first full month of operation, which is not guaranteed.
5. Key Risk Factors
Prospective franchisees should carefully consider the following risks before investing:
- Location risk: Income is highly dependent on foot traffic. A poor location is the most common cause of franchise underperformance. BayadBox provides site assessment guidance but the final location decision rests with the franchisee.
- Regulatory risk: BayadBox operates in the regulated financial services sector. Changes to BSP, AMLC, or other government regulations may affect commissions, transaction limits, or permissible services.
- Partner risk: Commission rates from remittance and billing network partners may change. BayadBox cannot guarantee the continued availability of any third-party partner network.
- Competition risk: The Philippine financial services and payment industry is competitive. New competitors, including digital-only services, may reduce foot traffic over time.
- Capital risk: Franchisees must maintain sufficient working capital (float) to handle daily transaction volume. Insufficient float may result in inability to serve customers and loss of income.
- Operational risk: Store performance depends heavily on franchisee and staff commitment, customer service, and daily operational discipline.
- Technology risk: System downtime, internet outages, or POS malfunctions may temporarily prevent transactions from being processed.
6. Franchise Terms Summary
- Territory: Exclusive per barangay — one BayadBox franchise per barangay
- Franchise duration: Lifetime — not a fixed-term contract
- Royalties: None — franchisees keep all commissions and service margins
- Platform fee: Monthly platform and system access fee applies (disclosed in the Franchise Agreement)
- Training: Initial training provided by BayadBox before store opening
- Support: Ongoing operational and technical support from BayadBox
- Transferability: Franchise rights may be transferred subject to BayadBox approval and a transfer fee
7. Regulatory Compliance Obligations
All BayadBox franchisees are required to:
- Register with and maintain accreditation from the Anti-Money Laundering Council (AMLC) as a remittance agent
- Comply with all BSP regulations applicable to money service businesses and payment agents
- Conduct proper KYC for all remittance transactions in accordance with the AMLA
- Complete mandatory AML/CFT training as provided by BayadBox
- Obtain all necessary local government permits and business licenses before opening
- Register with the Bureau of Internal Revenue (BIR) and issue official receipts as required
- Register under the Data Privacy Act with the National Privacy Commission if processing data of 1,000 or more individuals
Failure to comply with applicable regulations is the franchisee’s responsibility and may result in fines, penalties, or loss of accreditation. BayadBox provides guidance on compliance requirements but is not liable for any regulatory violations committed by franchisees.
8. Independent Advice
BayadBox strongly recommends that all prospective franchisees:
- Consult an independent lawyer before signing any franchise agreement
- Consult a certified public accountant to assess the financial projections and their suitability for your situation
- Visit an existing BayadBox store to observe operations firsthand before investing
- Independently verify foot traffic and demand in your target barangay
9. No Reliance on Verbal Representations
This written disclosure and the Franchise Agreement constitute the entire agreement between BayadBox and the franchisee. No verbal representation, promise, or projection made by any BayadBox representative shall be binding unless expressly set out in the written Franchise Agreement.
